Afri54 Ambassadors Terms and Conditions

These Terms and Conditions (“Terms”) govern the participation of individuals (“Ambassadors”) in the Afri54 Ambassadors Program (“Program”) operated by Afri54 Limited (“Afri54”, “we”, “our”, or “us”). By joining and participating in the Program, Ambassadors agree to comply with and be bound by these Terms.

Role of Ambassadors

·      Ambassadors act as promoters and representatives of Afri54, encouraging businesses both within their country and across Africa to subscribe to Afri54 packages.

·      Ambassadors must conduct themselves with professionalism and integrity at all times.

1. Eligibility

1.1 Ambassadors must be at least 18 years of age and legally able to enter binding agreements in their jurisdiction.
1.2 Afri54 reserves the right to accept or reject any applicant without obligation to provide reasons.

2. Commission and Payments

2.1 Ambassadors shall earn a 25% commission on each paid subscription plan purchased by businesses introduced through their unique referral code or link.
2.2 Payments shall be made monthly, provided that the accumulated commission meets the minimum payout threshold communicated by Afri54.
2.3 All commissions are residual, subject to businesses maintaining and renewing their subscriptions. If a subscription lapses, is canceled, or refunded, no commission shall be payable for that transaction.
2.4 Payments shall be made in U.S. Dollars (USD) through the payment method designated by Afri54. Transaction charges may apply.

3. Quarterly Referral Bonus

3.1 In addition to commissions, Ambassadors are eligible for a Quarterly Referral Bonus based on the number of paid businesses they refer within a three-month (quarterly) period.

3.2. The quarterly cycle starts from the date the Ambassador refers their first paid business and runs every three months thereafter.  (e.g., if the first business is referred on 29th January 2026, the one-year period ends on 29th April 2026).

3.3. Bonus Calculation:

·      Tier 1: If fewer than 25 paid businesses are referred in a quarter → Bonus = USD $3.20 × number of businesses.

·      Tier 2: If 25 or more paid businesses are referred in a quarter → Bonus = USD $5.20 × number of businesses.

3.4. Only paid subscriptions qualify. Free plan referrals shall not count toward bonus calculations.

3.5. Bonuses are paid at the end of each qualifying quarter.

4. Marketing and Promotion

4.1 Ambassadors are permitted to promote Afri54 via:

·      Social media platforms

·      Blogs, websites, and online content

·      Paid advertisements (subject to compliance with applicable advertising laws)

·      Video or offline promotional content

4.2 Ambassadors must not engage in any false, misleading, offensive, or illegal advertising practices.
4.3 Afri54 reserves the right to request removal of any promotional content deemed damaging to its reputation.

5. Tools and Resources Provided

5.1 Each Ambassador shall receive a unique referral code and link for tracking referrals.
5.2 Afri54 shall provide special discount coupons for Ambassadors to share with prospects, which may be applied to reduce the cost of subscription packages. This does not affect your incentives.
5.3 An easy-to-use dashboard shall be provided for monitoring referrals, commissions, and payments.

6. Exclusions

6.1 Referrals that subscribe to a Free Plan shall not qualify for commission or bonus calculations.
6.2 Fraudulent signups, self-referrals, or duplicate accounts will be voided and may lead to termination.
 

7. Ambassador Responsibilities

7.1 Ambassadors are independent contractors and not employees, agents, or partners of Afri54.
7.2 Ambassadors are responsible for their own tax obligations arising from commissions and bonuses earned.
7.3 Ambassadors must ensure compliance with all applicable laws and regulations in their jurisdiction while promoting Afri54.

8. Termination and Suspension

8.1 Afri54 reserves the right to cancel, remove, or terminate an Ambassador’s participation in the Program immediately in cases of:

·      Fraudulent activity

·      Misconduct or unethical behavior

·      Violation of these Terms

·      Criminal convictions or records that may damage Afri54’s reputation
8.2 Upon termination, all unpaid commissions and bonuses may be forfeited at Afri54’s discretion.

9. Liability Disclaimer

9.1 Afri54 shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Program.
9.2 Ambassadors participate at their own risk, and Afri54 does not guarantee any minimum income. Earnings depend solely on the Ambassador’s performance.

10. Confidentiality and Intellectual Property

10.1 Ambassadors may not use Afri54’s name, logo, or branding without prior written approval, except as provided in official marketing materials.
10.2 All training materials, resources, and tools provided remain the intellectual property of Afri54.
10.3 Confidential business information shared with Ambassadors must not be disclosed to third parties.

11. Modification of Terms

Afri54 reserves the right to amend, modify, or update these Terms at any time. Ambassadors will be notified, and continued participation constitutes acceptance of the revised Terms.
 

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria (or Afri54’s country of incorporation). Any disputes shall be resolved under the jurisdiction of the competent courts in that country.
