Afri54 Designers Terms and Conditions

These Terms and Conditions (“Terms”) govern the participation of individuals (“Designers”) in the Afri54 Designers Program (“Program”) operated by Afri54 Limited (“Afri54”, “we”, “our”, or “us”). By joining and participating in the Program, Designers agree to comply with and be bound by these Terms.

1. Eligibility

1.1 Designers must be at least 18 years of age and legally able to enter into binding agreements in their jurisdiction.
1.2 Afri54 reserves the right to accept or reject any applicant without obligation to provide reasons.

2. Payments and Withdrawals

2.1 Designers shall receive payments monthly, or upon reaching a minimum milestone of USD $50, at which point they may request a withdrawal.
2.2 Payments shall be made in U.S. Dollars (USD) through the payment method designated by Afri54. Transaction charges may apply.
2.3 Afri54 shall not be responsible for delays caused by third-party payment processors or banking institutions.

3. Pricing Policy

3.1 Designers must not charge above USD $5 per job.
3.2 Violation of this rule may result in:

A strike (warning) on their account.

Suspension or permanent revocation of their account after repeated violations.

4. Customer Satisfaction and Conduct

4.1 Customer satisfaction is a top priority. Designers must strive to complete jobs in a professional, respectful, and timely manner.
4.2 Any reports of rudeness, insults, unprofessional behavior, or misconduct may result in strikes, suspension, or termination.
4.3 Designers must complete all assigned jobs within a maximum of 4 days. If a designer refuses, fails, or is unavailable to complete a job, Afri54 reserves the right to refund the client or reassign the job to another designer.

5. Quarterly Referral Bonus

5.1 In addition to job payments, Designers are entitled to quarterly conditional referral bonus, subject to the following terms:
(i) The Designer must introduce at least 30 paid businesses within a 3 month period.
(ii). Bonus Calculation:

• Tier 1: If fewer than 12 paid businesses are referred in a quarter → Bonus = USD $12 × number of businesses.
• Tier 2: If 12 or more paid businesses are referred in a quarter → Bonus = USD $16 × number of businesses.

(iii) The 3 months period begins on the date the Designer brings their first paid business on board (e.g., if the first business is referred on 29th January 2026, the one-year period ends on 29th April 2026).
(iv) Bonuses shall be payable at the end of the qualifying 3 month cycle.

6. Marketing and Promotion

6.1 Designers may promote Afri54 through:

Social media pages

Blogs and websites

Video content and advertising

Other lawful promotional activities

6.2 Afri54 may provide promotional materials for use but reserves the right to request removal of any content deemed harmful to its reputation.

7. Tools and Resources Provided

7.1 Each Designer shall receive a unique referral code and link for tracking business introductions.
7.2 An easy-to-use dashboard shall be provided for monitoring referrals, earnings, and payments.

8. Exclusions

8.1 Referrals that subscribe to a Free Plan shall not qualify for commissions or annual bonus calculations.
8.2 Fraudulent signups, fake jobs, or duplicate accounts will be voided and may lead to termination.

9. Designer Responsibilities

9.1 Designers are independent contractors and not employees, agents, or partners of Afri54.
9.2 Designers are solely responsible for their own tax obligations arising from payments and bonuses earned.
9.3 Designers must ensure compliance with all applicable laws and regulations in their jurisdiction.
9.4 Designers must maintain a professional work ethic, respect deadlines, and communicate clearly with clients.

10. Termination and Suspension

10.1 Afri54 reserves the right to cancel, suspend, or terminate a Designer’s account in cases of:

Misconduct or unprofessional behavior

Fraudulent activity

Violation of these Terms

Criminal convictions or activities that may harm Afri54’s reputation

10.2 Upon termination, all unpaid earnings and bonuses may be forfeited at Afri54’s discretion.

11. Dispute Resolution

11.1 In the event of a dispute between a Designer and a client, Afri54 shall act as mediator and its decision shall be final.
11.2 Afri54 reserves the right to refund clients if services are unsatisfactory or incomplete.

12. Liability Disclaimer

12.1 Afri54 shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Program.
12.2 Designers participate at their own risk, and Afri54 does not guarantee any minimum income. Earnings depend solely on the Designer’s performance.

13. Confidentiality and Intellectual Property

13.1 All Afri54 logos, materials, and resources remain the property of Afri54 and may not be used without written consent.
13.2 Confidential business information shared with Designers must not be disclosed to third parties.

14. Modification of Terms

Afri54 reserves the right to amend, modify, or update these Terms at any time. Continued participation constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria (or Afri54’s country of incorporation). Any disputes shall be resolved under the jurisdiction of the competent courts in that country.
